1. Introduction
Welcome to MIYANI'S! These Terms & Conditions govern the purchase and use of our furniture. By placing an order, you agree to these terms. If you do not agree with any part of these terms, you should refrain from using our services.

2. Definitions

  • Company: MIYANI'S, a furniture business registered at 179 Cheveral Avenue, Coventry, CV6 3EN.

  • Purchaser: Any business or individual purchasing furniture from MIYANI'S, whether for resale, interior design, or commercial use.

  • Products: All furniture and related items offered for sale by MIYANI'S, including but not limited to tables, chairs, sofas, cabinets, and customized furniture pieces.

3. Orders & Acceptance

  • Orders are only confirmed when MIYANI'S provides written acceptance, either via email or official invoice confirmation.

  • Any order placed by a purchaser is considered an offer to buy, which MIYANI'S may accept or reject at its sole discretion.

  • Custom orders requiring specific modifications or non-standard designs may require additional review and approval, which may extend the timeline for confirmation and fulfillment.

4. Pricing & Payment

  • All prices are listed in GBP (£) and exclude taxes and delivery charges unless explicitly mentioned otherwise.

  • Payments must be made in full before dispatch unless otherwise agreed in writing. For large orders, MIYANI'S may accept deposits with the remaining balance due before delivery.

  • Late payments will incur interest charges at a rate of 4% above the Bank of England base rate, calculated daily until full payment is received.

  • If a payment is delayed beyond 30 days, MIYANI'S reserves the right to suspend deliveries, cancel pending orders, or take legal action to recover dues.

  • Additional administrative fees may be applied to late payments requiring collection efforts.

  • Payment methods accepted include bank transfers, debit/credit cards, and approved business financing options where applicable.

5. Customization Requests

  • If a purchaser requests any product customization after placing an order and MIYANI'S accepts the request, the estimated delivery timeline may change.

  • Custom orders, once in production, are non-refundable unless a manufacturing defect is found.

  • Any requested modifications after production has started may result in additional charges, depending on feasibility.

  • Customization includes changes in dimensions, materials, finishes, upholstery, or additional features requested by the purchaser.

  • Certain complex or highly specific modifications may require longer lead times and additional production costs, which will be communicated before order approval.

  • MIYANI'S reserves the right to reject customization requests that do not align with product feasibility or manufacturing capabilities.

6. Delivery & Risk Transfer

  • Estimated delivery timelines are provided at the time of order confirmation; however, these are subject to external factors such as production delays, transportation strikes, customs clearance issues, global pandemics, natural disasters (e.g., floods, earthquakes), political instability, war, supplier shortages, or other unforeseen events beyond our control.

  • Risk and responsibility for the goods transfer to the purchaser once the items are delivered. MIYANI'S is not liable for damages that occur after delivery.

  • The purchaser is responsible for ensuring accessibility at the delivery location. If delivery cannot be completed due to lack of access, re-delivery charges may apply.

  • MIYANI'S is not responsible for customs clearance delays or regulatory inspections beyond our control.

7. Inspection & Acceptance

  • Purchasers are required to inspect their goods upon delivery and report any defects or damages within 48 hours.

  • If no report is made within this timeframe, the goods will be considered accepted, and no claims will be entertained.

  • Minor variations in color, texture, or grain due to the use of natural materials are not considered defects.

8. Returns & Refunds

  • Returns are only accepted for defective or incorrectly supplied items. Purchasers must notify MIYANI'S within 3 days of receiving the goods.

  • Custom-made products cannot be returned unless they have manufacturing defects.

  • Refunds, if applicable, will be processed within 14 business days after the returned goods have been inspected.

  • Returned products must be in their original packaging and unused. If items show signs of use, they may not qualify for a refund.

  • Return shipping costs must be covered by the purchaser unless the return is due to an error on MIYANI'S part.

9. Warranty

  • MIYANI'S provides a limited warranty covering manufacturing defects for a specific period. The duration of the warranty varies by product and is specified at the time of purchase.

  • The warranty does not cover normal wear and tear, misuse, accidental damage, exposure to extreme conditions (e.g., direct sunlight, high humidity, extreme temperature changes), or unauthorized repairs.

  • Warranty claims require proof of purchase and photographic evidence of the defect.

  • If the purchaser selects higher-grade materials and premium finishes, MIYANI'S may offer an extended warranty period, which will be specified at the time of purchase.

10. Liability Limitation

  • MIYANI'S is not liable for indirect, incidental, or consequential damages resulting from the use of our products.

  • Our total liability, under any circumstances, is limited to the total value of the purchaser’s order.

  • MIYANI'S does not accept liability for damages caused by improper installation, third-party modifications, or misuse beyond intended product functionality.

11. Intellectual Property

  • All product designs, images, and website content are the property of MIYANI'S.

  • Unauthorized use, reproduction, distribution, or modification of our materials, including but not limited to website content, marketing materials, and product designs, is strictly prohibited.

  • Any infringement of MIYANI'S intellectual property rights may result in legal action, including but not limited to cease and desist orders, financial penalties, or legal claims for damages. MIYANI'S actively monitors and enforces its intellectual property rights to prevent unauthorized use. If a third party is found using our intellectual property without permission, legal action will be taken to protect our brand integrity and proprietary designs.

  • All product designs, images, and website content are the property of MIYANI'S.

  • Unauthorized use, reproduction, distribution, or modification of our materials, including but not limited to website content, marketing materials, and product designs, is strictly prohibited.

  • Any infringement of MIYANI'S intellectual property rights may result in legal action.

12. Governing Law & Jurisdiction

  • These Terms & Conditions are governed by the laws of the United Kingdom.

  • Any disputes shall be resolved in UK courts.

13. Dispute Resolution

  • In the event of a dispute, both parties agree to attempt resolution through good-faith negotiations before pursuing legal action.

  • If a resolution cannot be reached, the matter shall be referred to arbitration or mediation as required under UK law.

14. Third-Party Rights

  • These Terms & Conditions do not grant any rights to third parties who are not directly involved in the purchase agreement.

15. Severability

  • If any provision of these terms is found to be invalid or unenforceable, the remaining terms will continue to apply in full force.

16. Waiver

  • Failure to enforce any provision of these terms does not constitute a waiver of MIYANI'S rights to enforce them at a later time.

17. Entire Agreement

  • These Terms & Conditions represent the entire agreement between MIYANI'S and the purchaser and supersede any prior agreements or understandings.
